TERMS & CONDITIONS
SALES AGREEMENT
This Agreement is made between Varity Merchants (the “Seller”), a company operating under the laws of the United Kingdom, and the purchasing party (the “Buyer”). Both shall be referred to individually as a “Party” and collectively as the “Parties.”
1. Description of Goods
The Seller agrees to supply, and the Buyer agrees to purchase, the goods listed in the applicable order or invoice (the “Goods”), which form part of this Agreement.
2. Delivery
Delivery dates provided by the Seller are estimates only and may vary depending on availability and logistics.
All goods are supplied on a shipment basis, and shipping costs are estimates that may change based on weight, size, and destination.
Once the Goods have been dispatched, Varity Merchants shall not be held responsible for delays, loss, or damage caused by the shipping carrier. Any claims must be made directly with the courier service.
3. Partial Deliveries
The Seller reserves the right to deliver Goods in full or in installments.
Selecting full shipment may result in delays due to stock availability.
Partial shipments may incur additional shipping charges.
4. Payment Terms
Payment terms may include Net 30 days or as otherwise agreed.
Late payments may result in:
Account suspension
A late fee of up to 5% per month on outstanding balances
Additional collection costs if applicable
5. Risk and Ownership
Risk of loss passes to the Buyer once the Goods are shipped.
Ownership of the Goods remains with the Seller until full payment has been received.
6. Order Cancellation
Cancellation requests must be submitted in writing.
Custom or special-order items may be subject to a cancellation fee of up to 25%.

Conditions:
Returns accepted within 30 days of delivery
Items must be unused and in original packaging
Custom or personalised items are non-refundable
Return shipping costs are the Buyer’s responsibility
Approved returns may be subject to a restocking fee of up to 25%.
8. Warranty Disclaimer
Goods are supplied “as is” unless otherwise stated.
Any manufacturer warranties will apply where relevant. The Seller does not provide additional warranties beyond those required by law.
9. Pricing
Prices are based on the Seller’s current pricing at the time of order confirmation and may be subject to change prior to dispatch.
10. Inspection
The Buyer must inspect Goods upon delivery.
Any claims for missing or damaged items must be made within 48 hours of receipt.
11. Payment Methods
Accepted methods include bank transfer, debit/credit card, or other approved payment methods.
12. Legal Remedies
Both Parties retain their rights under applicable UK commercial laws.
13. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of England and Wales.
14. Dispute Resolution
Any disputes shall first be resolved through mutual agreement.
If unresolved, disputes may be referred to arbitration or the courts of England and Wales.
15. Legal Costs
The prevailing Party in any legal proceedings may recover reasonable legal costs where permitted by law.
16. Notices
All notices must be provided in writing via email or registered post.
17. Amendments
This Agreement may only be amended in writing and signed by both Parties.
18. Entire Agreement
This document constitutes the entire agreement between the Parties and supersedes any prior agreements.
19. Severability
If any part of this Agreement is found to be invalid, the remaining provisions shall remain in full effect.
20. Taxation
All prices are exclusive of VAT unless stated otherwise.
VAT will be applied in accordance with UK tax regulations where applicable.
